  1. The Buyer shall signify his unqualified acceptance of the Terms and Conditions by signing the Purchase Order information and returning it to the Seller.
  1. These conditions shall apply to the Contract to the exclusion of any other terms and conditions on which any quotation has been given to the Buyer or subject to which the order is accepted or purported to be accepted by the Seller.
  1. Quotations. The Seller will not be bound by any quotations given but shall have the power to vary or withdraw the quotation at its discretion.
  1. Cancellation of order.

4.1 Orders for goods which have been made by the Buyer will be charged in full unless written notice of cancellation is received within 100 days before the agreed delivery date as dated in the Seller's quotation. If the manufacture of goods has commenced at the date of cancellation, the Buyer will still be bound to accept the Goods manufactured at the date of cancellation and pay for them in full.

4.2. The Buyer agrees that it will not be entitled for any reason to make any deductions or withhold to the Seller.

  1. Risk and Title.

5.1 Risk in the Goods passes when they are delivered to the Buyer whether by being made available for delivery or otherwise as agreed and accordingly the Buyer will be responsible for insurance from the date the Goods are made available to the Buyer.

5.2 If the Buyer fails:

5.2.1 to take delivery of the Goods or any part of them on the due date;

5.2.2 to provide any instruction documents and licenses consents or authorisations required to enable the Goods to be delivered on the due date;

The Seller will be entitled upon giving written notice to the Buyer to store or arrange for the storage of goods and:

5.2.3 risk in the Goods will pass to the Buyer;

5.2.4 delivery will deemed to have taken place;

5.2.5 the Buyer will pay to the Seller all costs and expenses including storage charges arising from the failure.

5.3 The Seller will not be liable where any goods are lost or damaged in transit and all claims by the Buyer must be made against the carrier. Replacements for such lost or damaged Goods will, if available, be supplied by the Seller at the prices in force at the date of despatch of the replacement Goods.

5.4 No claim may be made by the Buyer for any defect arising from any design or specification provided or made by the Buyer or if any adjustments, alterations, adaptations or other work has been done to the Goods by any person other than the Seller.

5.5 Until such time as payment in full (including interest) for the Goods has been made legal and beneficial ownership in the Goods shall remain in the Seller but the Goods shall not be returned to the Seller without the Seller's prior written consent.

  1. Jurisdiction.

This contract is subject to English Law and the Buyer consents to the exclusive jurisdiction of the English Courts in all matters regarding the Goods.

  1. Delivery.

6.1 The Goods shall be delivered to, and Services shall be performed at the delivery address on the date or within the period stated in the order, in either case during the Buyer's usual business hours.

6.2 While every effort will be made to ensure that the Goods will conform with the samples provided, the Seller will not be held responsible for any charges in the specification of the Goods due to change in shade or colour or weight of material or anything beyond the reasonable control of the Seller.

6.3 Damaged and missing cartons must be noted down and signed for on accepting delivery.

7.4 Damages and discrepancies must be notified within 3 days of receipt of Goods in writing.

  1. Interest. The Seller shall be entitled to interest on all sums not paid with 30 days at a rate of 2% above the base rate of Lloyds TSB Bank.
  1. All prices are ex-factory.

9.1 The Buyer will pay the seller for any transport charges.

9.2 In the case of Import Duty being paid by the Seller the Buyer will reimburse the Seller in full.
